Terms of Service

1. Agreement to these terms

By accessing or using RivalVantage ("the Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree, do not use the Service. These Terms constitute a legally binding agreement between you and RivalVantage ("we", "us", or "our").

If you are using the Service on behalf of an organisation, you represent that you have authority to bind that organisation to these Terms.

2. The service

RivalVantage is an observation-as-a-service platform that monitors publicly accessible web surfaces — including websites, pricing pages, hiring boards, and changelogs — and delivers structured intelligence signals to your team workspace.

We reserve the right to modify, suspend, or discontinue any part of the Service at any time. We will provide reasonable notice of material changes where practicable.

3. Eligibility

You must be at least 18 years old to use the Service. By using the Service, you represent and warrant that you meet this requirement. The Service is intended for professional and business use.

4. Accounts

You are responsible for maintaining the security of your account credentials. You must notify us immediately at support@rivalvantage.com if you suspect any unauthorised access to your account. We are not liable for losses resulting from unauthorised use of your account.

You may not share your account or credentials with others outside your permitted workspace members. Account access is limited to the number of seats included in your plan.

5. Subscriptions and billing

Plans

RivalVantage offers monthly and annual subscription plans. By subscribing, you authorise us to charge the applicable fees to your payment method at the start of each billing period.

Cancellation

You may cancel your subscription at any time from your account settings or by contacting support@rivalvantage.com. Cancellation takes effect at the end of the current billing period. You will retain access to the Service until that date.

No refunds

All fees are non-refundable. Cancellation stops future billing but does not entitle you to a refund for the current or any prior billing period. We do not offer pro-rata refunds for unused time.

Price changes

We may change subscription prices with at least 30 days' advance notice. Continued use of the Service after a price change constitutes your acceptance of the new pricing.

Taxes

Prices shown are exclusive of applicable taxes (including GST where applicable under Indian law). You are responsible for any taxes applicable to your purchase.

6. Acceptable use

You agree not to use the Service to:

• Violate any applicable law or regulation
• Monitor competitors in a manner that violates their terms of service or applicable law
• Collect or harvest personal data from third-party websites
• Attempt to reverse engineer, decompile, or extract source code from the Service
• Interfere with or disrupt the integrity or performance of the Service
• Use the Service for any unlawful, defamatory, or harmful purpose
• Resell or sublicense access to the Service without our written permission

We reserve the right to suspend or terminate accounts that breach these usage restrictions, without refund.

7. Intellectual property

The Service, including its software, design, and content, is the property of RivalVantage and is protected by applicable intellectual property laws. These Terms do not grant you any ownership rights in the Service.

You retain ownership of any data you upload or configure within the Service (such as your competitor list and workspace settings). You grant us a limited licence to use that data solely to provide the Service to you.

Intelligence signals and reports generated by the Service are provided for your internal business use only. You may not resell, republish, or redistribute them without our written consent.

8. Disclaimer of warranties

The Service is provided "as is" and "as available" without warranties of any kind, express or implied. We do not warrant that:

• The Service will be uninterrupted, error-free, or fully secure
• Intelligence signals will be complete, accurate, or timely
• The Service will meet your specific business requirements

Competitor intelligence is derived from publicly available sources. We make no representations about the accuracy or completeness of third-party content we monitor.

9. Limitation of liability

To the maximum extent permitted by applicable law, RivalVantage shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of or inability to use the Service — including loss of revenue, business decisions made based on intelligence signals, or data loss.

Our total liability to you for any claim arising under these Terms shall not exceed the amount you paid us in the three months preceding the claim.

10. Termination

You may stop using the Service and cancel your account at any time. We may suspend or terminate your access without notice if you breach these Terms, or with reasonable notice if we decide to discontinue the Service.

Upon termination, your right to use the Service ceases immediately. Sections 7, 8, 9, and 11 survive termination.

11. Governing law and disputes

These Terms are governed by and construed in accordance with the laws of India, including the Information Technology Act, 2000 and the Digital Personal Data Protection Act, 2023, without regard to conflict of law principles.

Any dispute arising out of or relating to these Terms or the Service shall first be attempted to be resolved through good-faith negotiation. If unresolved, disputes shall be subject to the exclusive jurisdiction of the courts located in India.

12. Changes to these Terms

We may update these Terms from time to time. Material changes will be communicated by email to registered users at least 14 days before taking effect. Continued use of the Service after the effective date constitutes acceptance of the revised Terms.
